Hi Rapid Formations
I’m exploring the option of either purchasing an aged, DORMANT entity or incorporating one in London. I plan to keep it dormant. Is Rapid Formations able to help in this area? I need to know the tax implications of this: 1) does Rapid Formations have ready shelf companies for sale and are they dormant? 2) upon the purchase, are they considered dormant or active? 3) if I wish to keep it dormant, do I have to inform Companies House/HMRC? 4) if the entity is dormant, do I have to still file accounts? 5) is Rapid Formations able to help with the required accounts, filing, etc. of a DORMANT entity and how much does that cost?

Thank you for getting in touch.
I’m afraid we do not provide ready-made companies – we only provide information services for setting up a new company. Our company formation packages are available from £12.99 – this basic package would provably suffice for your current needs.
If you choose to register a new company and you would like it to be dormant, you will need to notify HMRC. You will require contacting the Corporation Tax office shortly after incorporation. This is a very straightforward affair – often times you can change the trading status to dormant by telephone.
As long as your company has no significant accounting transactions at any time whilst it is dormant, you will not be required to prepare accounts or tax returns for HMRC, but you will have to prepare dormant accounts for Companies House. t’s really easy to complete dormant annual accounts because you don’t really have much info to enter – it should only take you a few minutes to fill out the required form online and submit the accounts electronically to Companies House.
I’m afraid we do not offer accounting services, but we can prepare and file the annual confirmation statement that you will have to submit once per year.
